Terms of Service

1. Acceptance of Terms

By accessing or using Zentrix Agent Studio ("Platform"), a product by BRTNeura Technology LLP ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you and BRTNeura Technology LLP, a Limited Liability Partnership registered in India.

2. Platform Description

Zentrix Agent Studio is an AI agent platform that enables businesses to subscribe to pre-built AI agents including voice agents, exam agents, chat agents, and workflow agents. The Platform provides agent management, call handling, knowledge base integration, and analytics.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately at support@brtneura.info of any unauthorised access.

4. Free Trial

• All agents include a 3-day free trial period.
• No credit card or payment information is required to start a trial.
• Trial access is limited to one trial per agent per account. Abuse of the trial system (e.g., creating multiple accounts) may result in account suspension.
• At the end of the trial period, access to the agent is suspended until a paid subscription is activated.
• No charges are incurred during the trial period.

5. Subscription Terms

• Subscriptions are billed monthly via Razorpay. Billing begins on the date of subscription activation.
• All prices are in Indian Rupees (INR) and are exclusive of GST. Goods and Services Tax (GST) at 18% (CGST 9% + SGST 9%, or IGST 18%) will be added to all invoices.
• Subscriptions automatically renew each month unless cancelled before the next billing cycle.
• You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.
• Payment methods accepted: UPI (0% MDR), credit/debit cards, and net banking via Razorpay.

6. Refund Policy

• Monthly subscriptions: No refunds for the current billing cycle after payment has been processed. You retain access until the end of the period.
• Annual subscriptions (when available): Prorated refunds are available for unused months if cancelled within the first 30 days.
• Failed payments: If a payment fails, your subscription will enter a grace period. If not resolved, the subscription will be suspended.
• Refund requests should be sent to support@brtneura.info.

7. Usage Limits

Each subscription plan includes specific usage limits (number of agents, calls per month, etc.) as described on our Pricing page. Exceeding your plan's limits may result in temporary throttling or a requirement to upgrade. We will notify you before taking any action.

8. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Use AI agents to impersonate real individuals without their consent
• Use the Platform for spam calls, fraud, harassment, or any form of abuse
• Attempt to reverse-engineer, decompile, or disassemble the Platform
• Share your account credentials or API keys with unauthorised parties
• Upload malicious content to the knowledge base
• Exceed rate limits or attempt to disrupt Platform availability

9. Intellectual Property

The Platform, including all software, design, branding, and documentation, is the intellectual property of BRTNeura Technology LLP. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Platform during your subscription period.

Content you upload (knowledge base documents, agent configurations) remains your property. You grant us a limited licence to process this content solely to provide our services.

10. Tax and GST Disclosure

All subscription prices displayed on the Platform are exclusive of applicable taxes. Goods and Services Tax (GST) at the prevailing rate of 18% is applicable on all subscriptions and will be itemised on your invoice:

• Intra-state: CGST 9% + SGST 9%
• Inter-state: IGST 18%

BRTNeura Technology LLP is a registered GST taxpayer. Our GSTIN will be displayed on all invoices.

11. Limitation of Liability

To the maximum extent permitted by law, BRTNeura Technology LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

AI agents are provided as automated tools and may occasionally produce inaccurate or unexpected responses. You are responsible for monitoring agent interactions and configuring appropriate safeguards.

12. Termination

We may suspend or terminate your account if you violate these Terms or engage in prohibited activities. You may terminate your account at any time by cancelling your subscription and requesting account deletion via email. Upon termination, your data will be deleted in accordance with our Privacy Policy.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in India.

14. Technology Partners and Third-Party Services

Zentrix Agent Studio relies on the following third-party technology partners to deliver its services. By using the Platform, you acknowledge and agree that your data may be processed by these partners as necessary to provide the services described herein:

• Bolna AI — Voice AI processing platform. Handles real-time speech processing, language model inference, and conversation management for phone-based voice agents.
• Retell AI — WebRTC voice platform. Powers browser-based voice calls through the web widget, providing real-time audio streaming and agent interaction.
• Exotel — Cloud telephony provider. Provides Indian phone numbers (+91), call routing, call recording, and PSTN connectivity for inbound and outbound voice calls. Exotel is a TRAI-compliant verified telecom partner.
• Razorpay — Payment gateway. Processes all subscription payments, UPI transactions, and card payments. Razorpay is PCI-DSS compliant. We never store your payment card details.
• OpenAI — AI model provider. Provides text embeddings for knowledge base search and retrieval-augmented generation (RAG). Document content is processed in anonymised form.
• Deepgram — Speech-to-text provider. Transcribes caller speech in real time during voice agent conversations.
• ElevenLabs — Text-to-speech provider. Converts AI-generated responses into natural-sounding voice audio during calls.
• Supabase — Database and authentication infrastructure. Hosts our database in the Mumbai (ap-south-1) region with encryption at rest and row-level security.
• Vercel — Application hosting and content delivery network (CDN).

We select partners that meet our security, privacy, and compliance requirements. Data shared with these partners is limited to what is strictly necessary to provide the service. For full details on data sharing, see our Privacy Policy.

15. Consent and Agreement

By creating an account on Zentrix Agent Studio, you explicitly consent to and agree with:

• These Terms of Service and our Privacy Policy
• The collection and processing of your personal data as described in our Privacy Policy
• The use of third-party technology partners as listed in Section 14 above
• The recording and transcription of voice agent conversations for service delivery and quality improvement
• The processing of payments through Razorpay, including GST as applicable

By activating any AI agent (including free trials), you further agree to the specific terms governing that agent's usage, including call recording, transcription, and applicable usage limits. You must not use the Platform or any agent without first accepting these Terms.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 15 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.
